1. Agreement to Terms

By accessing or using the services provided by Liberato Aguilar Business Software LLC d/b/a Aguilabs ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access our services. These Terms apply to all visitors, users, and clients of our website and services.

2. Description of Services

Aguilabs is a subscription software development agency. We provide:

  • Custom web and mobile application development, built from scratch (no templates)
  • Managed hosting, SSL, and infrastructure for your applications
  • Access to the Aguilabs client dashboard for project management, communications, file uploads, feature requests, and invoice history
  • Ongoing development capacity, content updates, and maintenance during your subscription
  • Participation in the Aguilabs Network shared authentication system (see Section 10)

3. Subscription Billing

All plans are billed monthly with no upfront development cost. Current pricing tiers are Starter ($35/mo), Growth ($55/mo), Pro ($85/mo), and Enterprise (custom pricing). By subscribing, you authorize Aguilabs to charge your payment method on a recurring monthly basis.

Enterprise engagements may include custom commercial terms or a separate written agreement that supplements or overrides portions of these standard Terms where expressly stated.

  • No upfront cost. You pay nothing to start; your first charge occurs when your project launches.
  • 14-day satisfaction guarantee. If you are not satisfied within the first 14 days of your first billing cycle, we will refund that month's payment in full.
  • Payment processing. Payments are processed securely via Stripe. We do not store your full credit card details on our servers.

4. Build Capacity and Fair Use

Each subscription tier includes a monthly development capacity appropriate to that plan. This capacity covers new feature development, content updates, bug fixes, and routine maintenance coordinated through the Aguilabs dashboard.

  • No rollover. Unused development capacity does not roll over to subsequent billing periods.
  • Scope and prioritization. We prioritize work based on your stated objectives and reasonable scope for the tier. Large features may be broken into milestones across billing cycles.
  • Exceeding capacity. If requests exceed your plan's monthly capacity, Aguilabs may queue, schedule, or defer work, or recommend a plan change. We will communicate capacity status through the dashboard.
  • Fair use. Capacity is intended for active project work and is not transferable, resalable, or accumulated for bulk release.

5. Cancellation Policy

You may cancel your subscription at any time — no contracts, no penalties, no cancellation fees. Upon cancellation, your service remains active through the end of your current billing period. After that date, your hosted application will be taken offline. If you wish to obtain the source code upon cancellation, see the Source Release Fee section below.

6. Source Release Fee

Because Aguilabs delivers custom software at subscription pricing (with no upfront cost), a one-time Source Release Fee applies per project if you wish to receive the full codebase upon cancellation. This fee reflects the development value delivered during your subscription and transfers ownership of the released source code to you. The fee varies by plan:

  • Starter: $500 per project
  • Growth: $1,000 per project
  • Pro: $2,500 per project
  • Enterprise: Negotiated separately based on project scope

Upon payment of the applicable Source Release Fee, you receive the released project's source code, database schema, and migration assistance to help you self-host. The source release is optional — you are never required to pay it. If you cancel without requesting the source release, your service simply ends at the close of your billing period.

Unless otherwise stated in a separate written agreement, the Source Release Fee applies per project released. Closely integrated components may be treated as a single release unit where appropriate. Any source release excludes Aguilabs platform software, shared infrastructure components, internal tooling, and third-party software governed by their own licenses.

7. AI Features and Limitations

Certain Aguilabs services may incorporate artificial intelligence (AI) features, including AI-assisted development, content generation, summarization, and automation. AI outputs may be incomplete, inaccurate, or misleading, and should not be relied upon as professional, legal, or financial advice.

  • Human review required. You are responsible for reviewing and validating any AI-generated output before relying on it, and for exercising human judgment before taking consequential actions based on AI output.
  • AI providers. AI features may be powered by third-party providers, which may include Anthropic, OpenAI, Google, and Amazon Web Services (AWS). Provider terms and usage policies may apply to your use of AI features.
  • No warranty on AI output. We do not warrant that AI-generated content is accurate, original, non-infringing, or fit for your purpose.

8. Subprocessors and Subcontractors

Aguilabs engages third-party providers and independent contractors to help deliver our services, including hosting, payment processing, AI providers, and specialized development talent. A list of our subprocessors is maintained at /subprocessors, and may be updated from time to time.

  • Responsibility for subcontractors. Aguilabs remains responsible for the performance of its subcontractors to the same extent as if the work were performed by Aguilabs directly.
  • Provider terms. Third-party services are also governed by their own terms and policies, which apply to your use of the affected features.

9. Data Processing

With respect to personal data processed on your behalf in connection with the services, you act as the controller and Aguilabs acts as the processor, processing such data only on your documented instructions and in accordance with these Terms. The Aguilabs Data Processing Addendum (DPA), available at /dpa, is incorporated into these Terms by reference and applies to the processing of personal data under these Terms.

10. Aguilabs Network

Aguilabs operates a shared authentication system called the Aguilabs Network. By using our services, you acknowledge and agree to the following:

  • End users who create an account on any Aguilabs-powered application can use that same account to log in to other Aguilabs-powered applications (single sign-on convenience).
  • All business data is strictly isolated per tenant using database-level row security policies. No client can access another client's data.
  • Pro and Enterprise plans may opt for dedicated authentication infrastructure, which provides a fully separate auth namespace.

11. Client Responsibilities

As a client, you agree to:

  • Provide accurate and complete information about your business and project requirements
  • Respond to communications and requests for content or feedback in a timely manner
  • Keep your account credentials secure and notify us immediately of any unauthorized access
  • Not use our services for any illegal, fraudulent, or unauthorized purpose
  • Not attempt to reverse-engineer, decompile, or extract source code from hosted applications
  • Comply with all applicable laws and regulations in your use of the services
  • Ensure you have all rights, consents, and a lawful basis for any personal data you collect from your end users through applications we build or host for you, and present your end users with appropriate terms and privacy notices (templates available from Aguilabs)

12. Intellectual Property

During an active subscription, Aguilabs retains ownership of all source code, designs, and technical assets developed for your project. You are granted a non-exclusive, non-transferable license to use and benefit from the hosted application for the duration of your subscription.

  • Source release transfers ownership. Upon payment of the applicable Source Release Fee (Section 6), full ownership of the custom codebase transfers to you.
  • Third-party licenses. Open-source libraries and third-party frameworks used in your project remain under their respective licenses.
  • Portfolio use. We may showcase completed projects in our portfolio with your permission.
  • Retained knowledge. We retain the right to use general methodologies, techniques, and non-confidential learnings from all projects.

13. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the engagement, including business data, project specifications, credentials, and trade secrets. This obligation survives the termination of any service agreement.

14. Warranties and Disclaimers

We strive to deliver high-quality, reliable software and services. However, our services are provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or meet all of your specific requirements.

15. Service Availability

We aim to provide reliable, continuously available hosting. Except where an Enterprise agreement expressly sets out service-level commitments, the services are provided without a guaranteed uptime level.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Liberato Aguilar Business Software LLC d/b/a Aguilabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of or inability to use the services. Our total aggregate liability for any claims arising under these Terms shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.

17. Indemnification

You agree to indemnify, defend, and hold harmless Liberato Aguilar Business Software LLC d/b/a Aguilabs, its owner, employees, contractors, and affiliates from any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

18. Termination

Either party may terminate the service relationship at any time. You may cancel your subscription through the dashboard or by contacting us. We reserve the right to suspend or terminate your access if you violate these Terms, engage in fraudulent activity, or fail to make timely payments. Upon termination, all outstanding payments become immediately due, and your access to the dashboard and hosted applications will cease at the end of the current billing period.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in El Paso County, Texas.

20. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, to a successor in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate, on notice to you.

21. Force Majeure

Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, natural disasters, power or internet failures, third-party provider outages, governmental actions, or border-crossing disruptions. Payment obligations are not excused by this section.

22. End User License Agreement (EULA)

Your use of the Aguilabs dashboard and platform software is also subject to the Aguilabs End User License Agreement (EULA), available at /eula. In the event of a conflict between these Terms and the EULA, these Terms shall control.

23. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify clients of material changes via email or through the dashboard. The "Last updated" date at the top of this page indicates when these Terms were last revised. Continued use of our services after such modifications constitutes acceptance of the updated Terms.

24. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
