End User LicenseAgreement

This End User License Agreement ("EULA") is a legal agreement between you ("User," "you," or "your") and Liberato Aguilar Business Software LLC d/b/a Aguilabs ("Aguilabs," "we," "us," or "our") governing your use of the Aguilabs dashboard and platform software. By accessing or using the Aguilabs dashboard, you agree to be bound by the terms of this EULA.

1. Grant of License

Subject to the terms of this EULA and your active subscription, Aguilabs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Aguilabs dashboard and associated platform software solely for managing your Aguilabs-hosted projects. This license is personal to you and may not be sublicensed, assigned, or transferred to any third party without our prior written consent.

Enterprise or custom clients may receive additional access, collaboration, or deployment rights only if those rights are expressly granted in a separate written agreement.

2. Scope of Use

The Aguilabs dashboard provides you with tools to:

  • Communicate with the Aguilabs development team about your projects
  • Upload and manage project files, images, and assets
  • Submit feature requests and track project progress
  • View and manage invoices and subscription billing
  • Manage team members and access permissions

3. Restrictions

You agree that you will not:

  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the dashboard or platform software
  • Copy, modify, adapt, or create derivative works based on the dashboard software
  • Resell, sublicense, lease, or distribute access to the dashboard to any third party
  • Use the dashboard or any knowledge gained from it to build a competing product or service
  • Attempt to gain unauthorized access to other users' accounts, data, or any Aguilabs systems
  • Use the dashboard for any illegal, fraudulent, or harmful purpose
  • Interfere with or disrupt the integrity or performance of the dashboard or its underlying infrastructure

4. Aguilabs Network Access

Your use of the Aguilabs Network shared authentication system is subject to acceptable use. You agree not to abuse the shared login system, attempt to access data belonging to other tenants, or use automated tools to probe or exploit the authentication infrastructure. Violations may result in immediate suspension of your account.

5. Intellectual Property

The Aguilabs dashboard, platform software, and all associated intellectual property (including but not limited to code, design, user interface, documentation, and trademarks) are and remain the exclusive property of Aguilabs. This EULA does not grant you any ownership rights in the dashboard or platform. Your content (files, messages, and data you upload) remains your property, subject to our Privacy Policy.

6. Modifications

Aguilabs may update, modify, or improve the dashboard and platform software at any time to enhance functionality, security, or performance. We will not materially degrade core service features without providing reasonable notice. We may also update this EULA from time to time; material changes will be communicated via email or dashboard notification.

7. Termination

This license is effective for the duration of your active Aguilabs subscription and terminates automatically when your subscription ends, whether by cancellation or non-payment.

  • Upon termination, your access to the dashboard and all hosted applications will cease.
  • If you wish to receive the source code for your custom-built applications, the applicable Source Release Fee must be paid (see our Terms of Service for details).
  • We may terminate this license immediately if you violate any terms of this EULA.

8. Disclaimer of Warranties

The Aguilabs dashboard and platform software are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Aguilabs does not warrant that the dashboard will be uninterrupted, error-free, or free of harmful components.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Aguilabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of or inability to use the dashboard, including without limitation loss of data, profits, or business opportunities. Our total aggregate liability under this EULA shall not exceed the total subscription fees you paid to Aguilabs in the twelve (12) months preceding the event giving rise to the claim.

10. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any disputes arising under this EULA shall be resolved exclusively in the state or federal courts located in El Paso County, Texas.
